Excelpoint Holdings shareholders approve FY2025 results and 0.53-cent dividend at Apr, 30 2026 AGM

Excelpoint Holdings Limited told investors that all nine resolutions tabled at its Annual General Meeting (AGM) on Apr, 30 2026 were passed by poll, with Reliance 3P Advisory Pte. Ltd. as scrutineer and Boardroom Corporate & Advisory Services Pte. Ltd. as polling agent. The meeting was chaired by Mr Chan Shun-Leong at the company’s Defu Lane headquarters in Singapore.

Shareholders adopted the board’s report and the audited consolidated financial statements for the year ended Dec, 31 2025. A first and final one-tier tax-exempt dividend of 0.53 Singapore cents per ordinary share—about 3.28 Hong Kong cents—was approved for FY2025; the payout is scheduled on or before Aug, 25 2026 to shareholders on the register as at Jul, 7 2026.

Investors also sanctioned S$215.985 million in directors’ fees for FY2026, re-elected Mr Toh Hsiang-Wen Keith as a non-executive director, and appointed Mr Lim Teck Chye as an independent non-executive director and member of the audit, remuneration and risk management committees. Mr Chan Shun-Leong retired as independent non-executive director and chairman upon the close of the meeting.

Mazars LLP was re-appointed as external auditor for the financial year ending Dec, 31 2026, with remuneration to be set by the board. Shareholders further granted a general mandate allowing directors to issue new shares up to 50% of the existing issued share capital, and approved an annual allotment limit of up to 3% for share awards under the Excelpoint Performance Share Plan.

Management addressed shareholder queries on market visibility, geopolitical risks, subsidiary structure, succession planning and growth prospects in Singapore, Malaysia and Vietnam. The company said its operations had not been materially affected by the current situation in Iran, reiterated confidence in subsidiary AR Robotics and its drone initiatives, and confirmed that 25% of attributable profit remains the benchmark for dividend determination.
