Hotel Grand Central Limited held its 58th annual general meeting on Apr, 30 2026 at Hotel Chancellor @ Orchard in Singapore, confirming that a quorum was present and all eight resolutions on the agenda were passed by poll.
The meeting adopted the company’s Directors’ Statement and audited financial statements for the financial year ended Dec, 31 2025. Shareholders approved a first and final one-tier tax-exempt dividend of 1.5 Singapore cents per ordinary share for FY2025.
Total directors’ fees of approximately 0.66 million Singapore dollars for FY2025 were sanctioned. Executive Director Tan Hwa Lian and Non-Independent Non-Executive Chairman Tan Kok Aun were re-elected to the board, while Ernst & Young LLP was re-appointed as external auditor.
Shareholders also renewed the mandate authorising directors to issue new shares—capped at 50% of issued share capital, with a sub-limit of 20% for non-pro-rata issues—and approved the renewal of the company’s share repurchase mandate allowing buybacks of up to 5% of issued shares via on-market purchases.
During a management presentation, the company addressed queries on the FY2025 revaluation deficit for its new Auckland hotel, noting that the property was still ramping up operations and is expected to benefit from the opening of the nearby Auckland Convention Centre in Feb, 2026. The board reiterated its commitment to maintaining prudent liquidity while remaining open to share buybacks and potential new investment opportunities. It also acknowledged suggestions to formalise a dividend policy based on operating profit and to enhance investor relations efforts.
The AGM concluded at 1.10 p.m. with no further business raised.
