WeRide repurchases 777,321 Nasdaq-listed shares, treasury stock rises to 23.79 million

WeRide Inc. disclosed that on 07 May 2026 it bought back 777,321 Class A weighted-voting-rights ordinary shares on the Nasdaq Stock Market. The shares were repurchased at prices ranging from USD 2.46 to USD 2.50, with a volume-weighted average of USD 2.4908, for a total consideration of USD 1.94 million.

The transaction represents 0.0819 % of WeRide’s 949.49 million issued shares (excluding treasury shares) outstanding before the trade. Following the buyback, issued shares outstanding declined to 948.71 million, while treasury shares increased from 23.02 million to 23.79 million. Total issued share capital remains unchanged at 972.51 million shares because the repurchased stock is being held in treasury rather than cancelled.

The repurchase forms part of the mandate approved on 13 March 2026, which allows the company to buy back up to 102.73 million shares. Cumulative repurchases under this mandate now total 23.79 million shares, equivalent to 2.32 % of the share count at the mandate date, leaving capacity for a further 78.94 million shares.

Under Hong Kong Stock Exchange rules, WeRide is subject to a moratorium on new share issues or treasury-share sales until 06 June 2026. The company confirmed that the buyback complied with all applicable regulations on both the Hong Kong and U.S. exchanges.
