GDS Holdings Limited (GDS) announced the resignation of independent director and Audit Committee Chair Lim Ah Doo, effective 20 May 2026, citing personal reasons.
Concurrently, the Board appointed Hua (Kathy) Chen to fill both roles, effective the same date. Chen brings more than 30 years of finance and operational experience, currently serving as Managing Partner and CFO of SB China Venture Capital. Her prior roles include Director and CFO at Volaris Capital within Credit Suisse, and Tax Consulting Manager positions at Arthur Andersen LLP and Ernst & Young LLP. Chen holds a Certified Public Accountant designation and degrees in Accounting, Finance and Taxation from NYU Stern School of Business and Fordham University.
The Board confirmed that Chen meets independence criteria stipulated by NASDAQ and the Hong Kong Stock Exchange. Following these changes, Board and committee compositions remain fully compliant with all regulatory requirements.
Lim joined GDS in August 2014, serving 11 years as independent director and Audit Committee Chair, during which time he contributed to strengthening corporate governance, financial oversight and audit standards.
The Board currently consists of Chairman and CEO William Wei Huang, Vice-Chairman Sio Tat Hiang, directors Satoshi Okada, Bruno Lopez, Gary J. Wojtaszek and Liu Chee Ming, along with independent directors Hua Chen, Bin Yu, Zulkifli Baharudin, Chang Sun and Judy Qing Ye.
