COWELL Plans Articles Overhaul Ahead of 2026 AGM

COWELL has announced a proposal to revise its existing Memorandum and Articles of Association and adopt a fourth amended and restated version.

The proposed amendments aim to: • Align governance documents with the latest Cayman Islands statutes and Hong Kong Listing Rules. • Enhance procedures for convening general meetings. • Facilitate electronic distribution of corporate communications. • Introduce other housekeeping changes to improve operational flexibility.

Implementation timeline: • Shareholders will vote on the special resolution at the 2026 Annual General Meeting scheduled for 28 May 2026. • If approved, the new Memorandum and Articles will take effect immediately following the vote. • A circular detailing the amendments and the AGM notice is slated for dispatch on or about 27 April 2026.

Board composition on the announcement date (24 April 2026) consists of: • Executive Directors: Meng Yan (Chairman) and Wu Ying-Cheng • Non-Executive Directors: Chen Han-Yang and Yang Li • Independent Non-Executive Directors: Su Yen-Hsueh, Tsai Chen-Lung and Liu Xia
