Aug 21

The board of Dajin Heavy Industry has called a third extraordinary general meeting (EGM) for 11 September 2026 in Fuxin, Liaoning. Five ordinary resolutions will be put to shareholders:

1. Interim dividend • Net profit for 1H 2026 reached RMB600.57 million. • Management proposes a cash dividend of RMB0.88 (tax inclusive) per 10 shares, totalling RMB65.13 million, to be paid by 11 November 2026. • No bonus shares or capitalisation of reserves are planned.

2. Permanent transfer of unused funds • The Tangshan Dajin high-end equipment project has been completed under budget, leaving RMB379.19 million of unutilised placement proceeds. • The board proposes transferring this balance to replenish day-to-day working capital. • The original private placement raised net proceeds of RMB3.06 billion in December 2022.

3. Bigger cash-management quota • The current ceiling of RMB3.00 billion for investing idle funds in low- to medium-risk products would rise by RMB1.50 billion to RMB4.50 billion. • Funds may be deployed on a revolving basis in instruments such as bank WMPs, money-market funds and low-risk bonds, each with maturities of up to 12 months.

4. Larger foreign-exchange hedging quota • To address rising FX exposure from euro- and U.S.-dollar-denominated sales, the annual hedging quota is set to increase by RMB2.00 billion to RMB6.00 billion. • Permitted tools include forwards, swaps, options and structured FX contracts, matched to underlying trade flows and funded with internal resources.

5. Feasibility report • A detailed analysis concludes the expanded FX-hedging programme is necessary and manageable, supported by internal controls, approved counterparties and ongoing audit oversight.

The share register for H-shareholders will close from 8 to 11 September 2026. Proxy forms must reach Tricor Investor Services by 2:00 p.m. on 10 September 2026.
