Fortior Technology Proposes 2026 A-Share Restricted Share Incentive Scheme to Deepen Talent Retention

Fortior Technology (Shenzhen) Co., Ltd. announced that its Board resolved on 20 August 2026 to submit the “2026 A Share Restricted Share Incentive Scheme” for shareholder approval at an upcoming extraordinary general meeting (2026 Second EGM).

The proposed scheme, structured in accordance with Chapter 17 of the Hong Kong Listing Rules, involves the issue of new A shares as restricted stock. It targets Directors (excluding independent Directors), senior management, core technical personnel and other key employees who maintain employment or labour relationships with the Company, its branches or subsidiaries at both the grant date and throughout the performance-assessment period.

Management expects the incentive plan to: 1. Strengthen long-term motivation and retention of key talent. 2. Align the economic interests of shareholders, the Company and employees. 3. Support the execution of the Company’s long-term strategic and operational goals.

Shareholders will vote on: • Adoption of the 2026 A Share Restricted Share Incentive Scheme; • Approval of related administrative and appraisal measures; and • Authorisation for the Board to handle all subsequent matters connected with the scheme.

A detailed circular, including full terms of the plan and notice of the 2026 Second EGM, will be dispatched to shareholders in due course.
