Raffles Education Limited (NR7) has issued 153,846 new ordinary shares at a conversion price of SGD0.065 each following the partial conversion of its outstanding convertible bonds, the company said in a filing on April 29, 2026.\n\nThe conversion relates to bonds with an aggregate principal value of SGD10,000, reducing the outstanding principal of the company’s convertible bonds to SGD38.501 million from SGD38.511 million.\n\nWith the allotment, Raffles Education’s issued and paid-up share capital has risen to 1,817,429,613 ordinary shares from 1,817,275,767 shares previously. The newly issued shares rank pari passu with the existing ordinary shares and will begin trading on the Singapore Exchange’s Mainboard at 9:00 a.m. on April 30, 2026.\n\nThe conversion was carried out in accordance with the terms of the Convertible Bonds Trust Deed dated August 30, 2022, under which the bonds were issued via rights and placement exercises.
