Yurun Food Schedules 9 June 2026 AGM; Proposes 10% Share Buy-Back Mandate and 20% Issuance Capacity

China Yurun Food Group Limited has convened its 2026 annual general meeting for 10:00 a.m. on Tuesday, 9 June 2026, at the company’s Yurun Food Industrial Park in Nanjing, Jiangsu Province.

Key items on the ordinary business agenda include:

• Presentation of the audited financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

• Re-election of independent non-executive directors Mr Gao Hui and Mr Chen Jianguo.

• Authorisation for the board to determine directors’ remuneration.

• Re-appointment of BDO Limited as external auditor with the board empowered to set its fee.

Special business resolutions will ask shareholders to approve:

• A general mandate allowing the board to repurchase up to 10% of the company’s issued share capital (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges during the period ending at the next AGM or earlier termination of the authority.

• A separate mandate permitting the board to allot and issue new shares or convertible securities representing up to 20% of the company’s issued share capital (excluding treasury shares), subject to statutory and regulatory limits and, where applicable, Bermuda Monetary Authority consent.

• An extension of the issuance mandate by an amount equal to the shares repurchased under the 10% buy-back mandate, effectively lifting the potential new-issue capacity by a further 10% if repurchases are executed.

Shareholders recorded on the register as of Tuesday, 9 June 2026, will be entitled to attend and vote. The register of members will be closed from Thursday, 4 June to Tuesday, 9 June 2026, inclusive. To qualify, share transfer documents must be lodged with Tricor Investor Services Limited by 4:30 p.m. on Wednesday, 3 June 2026. All resolutions will be decided by poll.

The board currently comprises Executive Directors Mr Zhu Yuan (Chairman) and Mr Yang Linwei, alongside Independent Non-executive Directors Mr Gao Hui, Mr Chen Jianguo and Mr Xu Xinglian.
