TIANGE’s Public Float Falls to 20.85% After Partial Offer Lapse; Board Requests Temporary Waiver

Tian Ge Interactive Holdings Limited (TIANGE) announced that its public float has declined to approximately 20.85% following the lapse of a pre-conditional voluntary cash partial offer from Sina Hong Kong Limited.

The partial offer, launched on 11 February 2026 for 32.50 million shares, required acceptance of the full amount to become unconditional. As disclosed on 13 April 2026, acceptances failed to meet this threshold and the offer consequently lapsed.

Because the public float is now below the 25% minimum stipulated under Rule 13.32B(1) of the Hong Kong Listing Rules—and the alternative threshold in Rule 13.32B(2) is also unmet—TIANGE has applied to the Stock Exchange for a temporary waiver. The Board stated it will take “appropriate steps” to restore compliance and will avoid any actions that could further reduce the public float.

With the partial offer terminated, the Board is no longer restricted by Rule 4 of the Takeovers Code and is preparing additional disclosures on the waiver application and the timetable for restoring the public float.

Executive directors are Fu Zhengjun, Mai Shi’en and Zhao Weiwen; non-executive director is Cao Fei; independent non-executive directors are Tse Ming Lun Alan, Wang Mingchun and Lam Yick Man. The announcement was issued in Hong Kong on 8 May 2026.
