Hong Kong, 1 June 2026—Under Rule 22 of the Hong Kong Code on Takeovers and Mergers, Morgan Stanley & Co., International plc (MSIP) has reported a series of derivative transactions linked to ENN Energy Holdings Limited conducted on 29 May 2026. The disclosure relates to the ongoing privatisation of ENN Energy by way of scheme of arrangement.
MSIP executed a total of 26 unsolicited client-facilitation trades in “other types of products” referencing ENN Energy shares. Key data points are as follows:
• Purchases: 4 transactions covering 9,900 reference shares, with consideration of USD 0.54 million at an average reference price of USD 54.84 per share. • Sales: 22 transactions covering 116,400 reference shares, generating USD 6.39 million at an average reference price of USD 54.92 per share. • Net position: a net sale of 106,500 reference shares; MSIP reports a resultant balance of zero on each trade, indicating all positions were closed or offset on the trade date. • Maturity / closing-out dates on the derivative contracts span from 29 May 2026 to 15 May 2028, with the largest single sale comprising 30,600 reference shares (notional USD 1.68 million) maturing on 30 September 2027.
