Holly Futures AGM Clears 2025 Results and Sets Final Dividend at RMB0.04 per 10 Shares

Holly Futures held its 2026 annual general meeting (AGM) on 26 June 2026 in Nanjing, approving all eight ordinary resolutions, including the 2025 financial statements, a final dividend, remuneration packages and the 2026-year related-party transaction cap.

Key AGM Metrics • Shares in issue: 1.01 billion (758.08 million A-shares; 249.70 million H-shares). • Voting participation: 182 shareholders representing 483.65 million shares, equal to 47.99% of total share capital. • Scrutineer: Computershare Hong Kong Investor Services; legal opinion issued by Grandall Law Firm confirming compliance.

Voting Results Resolutions 1–5 and 7–8 each secured c.99.85% support. Resolution 6—authorising the 2026 daily related-party transaction estimates—passed with a lower 57.93% approval after SOHO Holdings (493.67 million shares) abstained in line with Listing Rules.

2025 Final Dividend • Cash distribution: RMB0.04 (tax-inclusive) per 10 shares. • Record date: 17 July 2026; book closure 14–17 July 2026. • Payment date: 7 August 2026. • Currency: RMB for A-share holders; HKD for H-share holders, converted at RMB0.8697 per HK$1, producing a dividend of HK$0.0046 per H-share.

Tax Treatment for H-share Investors • Non-resident individual H-shareholders: dividend subject to 10% PRC withholding tax. • Non-resident enterprise H-shareholders: 10% enterprise income tax withheld at source. • Domestic investors via Shanghai-Hong Kong or Shenzhen-Hong Kong Stock Connect: – Individuals and funds: 20% individual income tax withheld. – Enterprises: self-report enterprise income tax; no withholding by the company.

Governance and Attendance All eight directors and senior management joined the AGM, with four attending on-site and four via video conference. The board is chaired by Executive Director Mr Chu Kairong.

With the 2025 financials and dividend plan now ratified, Holly Futures will proceed with the scheduled distribution, subject to the outlined tax arrangements.
