A legal firm has issued a reminder to investors of Commvault Systems (NASDAQ: CVLT) that the deadline to apply to serve as the lead plaintiff in the related securities class action is July 17, 2026. The lawsuit has been filed in the United States District Court for the District of New Jersey.
The complaint alleges that Commvault, along with certain current and former executive officers, violated the Securities Exchange Act of 1934 during the period from April 29, 2025, to January 26, 2026. It is claimed that the defendants created a misleading impression that the company's Annual Recurring Revenue (ARR) growth would remain stable for the 2026 fiscal year, while failing to adequately disclose the material impact that changes in the sales structure were having on ARR growth.
Specifically, the company allegedly did not disclose that ARR growth was under increasing pressure from sales structure shifts, with a growing proportion of sales coming from lower-value SaaS transactions and heavily discounted long-term contracts. On January 27, 2026, Commvault released its financial results for the third quarter of fiscal 2026, revealing net new ARR of just $39 million, falling short of its prior guidance of $45 million. The report also disclosed that approximately 60% of the quarter's deals closed in the final weeks, and SaaS transactions accounted for 70% of the net new ARR, but their average selling price was two to three times lower than that of term license sales.
Following this news, Commvault's stock price plummeted over 31% in a single day, erasing approximately $1.7 billion in market value. Under the Private Securities Litigation Reform Act of 1995, any investor who purchased or otherwise acquired Commvault securities during the class period may apply to be the lead plaintiff. The lead plaintiff is typically the investor with the largest financial interest in the case, will represent all class members in directing the litigation, and may choose legal counsel. Investors who do not serve as lead plaintiff are still entitled to share in any potential future recovery.
