According to the restructuring plan, a newly formed Delaware corporation, Versa Bancorp, will become the holding company for VersaBank and its subsidiary, VersaBank USA National Association. This move aims to enhance investor familiarity by meeting U.S. domestic reporting requirements and potential future index inclusion criteria, thereby improving the company's ability to effectively raise the necessary capital to execute its strategic plans.
The registration statement is not yet effective and its contents remain subject to change. Once declared effective by the SEC, VersaBank will convene a special meeting of shareholders to seek approval for the restructuring. Additionally, completion of the restructuring is contingent upon receiving approvals from multiple regulatory bodies, including Canada's Office of the Superintendent of Financial Institutions, the Canadian Department of Finance, and the U.S. Federal Reserve Board. VersaBank anticipates the restructuring will be completed within its 2026 fiscal year.
