Minerva Group Proposes Re-appointment of CCTH CPA as Auditor with HK$0.94 Million Fee

Minerva Group Holding Limited announced supplemental details to its circular dated 28 April 2026, focusing on the re-appointment of CCTH CPA Limited as external auditor for the financial year ending 31 December 2026.

The Board intends to submit a resolution at the upcoming annual general meeting to: 1. Re-appoint CCTH CPA Limited until the conclusion of the next AGM. 2. Authorise the Board to determine the auditor’s remuneration for the ensuing year.

The expected audit fee for the 2026 financial year is approximately HK$0.94 million, reflecting the anticipated scope, timetable and resource requirements associated with the Group’s business plan and complexity.

All other information in the original circular, including proposed mandates, director re-elections, amendments to the bye-laws and AGM notice, remains unchanged.

The announcement was issued by Chairman Li Wing Cheong on 8 May 2026. As of that date, the Board comprises two executive directors—Li Wing Cheong and Tong Hin Jo—and three independent non-executive directors—Chan Lai Ping, Tam Mei Chu and Ho Yuen Tung.
