Madison Holdings Group Limited will convene its Annual General Meeting (AGM) at 10:00 a.m. on Monday, 3 August 2026, at Units 801-802, 8/F, One Island South, 2 Heung Yip Road, Wong Chuk Hang, Hong Kong.
Key resolutions to be tabled include:
1. Financial Statements • Adoption of the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 March 2026.
2. Board Composition • Re-election of four directors: – Executive: Mr. Su Lei – Non-executive: Mr. Ji Zuguang – Independent non-executive: Mr. Chu Kin Wang, Peleus and Dr. Lau Reimer, Mary Jean • Authorisation for the board to set directors’ remuneration.
3. Auditor • Re-appointment of Messrs. Prism Hong Kong Limited as auditor for the year ending 31 March 2027, with board-authorised remuneration.
4. Share Capital Mandates • General mandate allowing the board to allot, issue, sell or transfer treasury shares and grant convertible or subscription rights up to 20% of the company’s issued share capital (excluding treasury shares) as at the approval date. • General mandate to repurchase shares on recognised exchanges up to 10% of issued share capital (excluding treasury shares). • Extension of the issuance mandate by the number of shares repurchased under the buy-back mandate.

• Shareholders registered by 4:30 p.m. on Tuesday, 28 July 2026, will be entitled to attend and vote. The register of members will be closed from 29 July 2026 to 3 August 2026 (both days inclusive). • Proxy forms must be lodged with Tricor Investor Services Limited no later than 10:00 a.m. on 1 August 2026. • Voting at the AGM will be conducted by poll in line with GEM Listing Rules. Holders of treasury shares, if any, will not have voting rights. • Contingency: If Typhoon Signal No. 8 or a black rainstorm warning is in effect after 7:00 a.m. on the meeting day, the AGM will be postponed; a revised schedule will be announced on the company and HKEX websites.
The board currently comprises three executive directors (Mr. Jiang Tian, Dr. Cheung Yuk Shan Shirley, Mr. Su Lei), two non-executive directors (Mr. Ji Zuguang, Mr. Ip Cho Yin J.P.), and three independent non-executive directors (Mr. Chu Kin Wang Peleus, Dr. Lau Reimer, Mary Jean, Mr. Zhou Li).
The AGM will provide shareholders the opportunity to vote on these proposals, which collectively shape the company’s governance, capital management flexibility and auditor oversight for the forthcoming financial year.
