SFSY Energy Schedules 30 June 2026 AGM With Proposals for 20% Issuance Mandate and 10% Share Buy-Back Authority

China Shuifa Singyes Energy Holdings Limited (SFSY Energy, 00750) has issued a notice convening its Annual General Meeting (AGM) for 30 June 2026 at 2:30 p.m. in Causeway Bay, Hong Kong. Key agenda items and proposed resolutions are as follows:

1. Financial Statements • Shareholders will be asked to receive and consider the audited financial statements and accompanying directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board Composition • Re-election of four directors: Executive Director Mr. Zhou Guangyan, Non-Executive Director Mr. Hu Xiao, and Independent Non-Executive Directors Mr. Jimmy Sun and Mr. Wang Jin. • The Board will be authorised to determine directors’ remuneration.

3. Auditor Re-appointment • Rongcheng (Hong Kong) CPA Limited is nominated for re-appointment as the Company’s auditor for the financial year ending 31 December 2026, with remuneration to be set by the Board.

4. Share Capital Mandates • Share Repurchase Mandate: Authorisation for the Company to repurchase up to 10% of the issued share capital (excluding any treasury shares) during the mandate period. • General Issuance Mandate: Authorisation to allot, issue, grant or deal with additional shares—up to 20% of the issued share capital (excluding any treasury shares)—including the sale or transfer of treasury shares. • Extension Mandate: Conditional on the above resolutions, the issuance mandate may be extended by adding the number of shares repurchased under the buy-back mandate, capped at an additional 10% of issued shares.

5. Administrative Details • Shareholders’ register will be closed from 25 June 2026 to 30 June 2026 (both days inclusive). Transfers must be lodged by 4:30 p.m. on 24 June 2026 to qualify for AGM attendance and voting. • All resolutions will be voted on by poll in accordance with Hong Kong Listing Rules. • Contingency arrangements for adverse weather include potential postponement if Typhoon Signal No. 8, Black Rainstorm, or “extreme conditions” signals are in force after 12:00 noon on the meeting day.

As of the notice date (5 June 2026), the Board comprises three executive directors, two non-executive directors and three independent non-executive directors, with Mr. Zhou Guangyan serving as Vice Chairman and acting Chairman.
