Citychamp Watch & Jewellery Group Limited (“CITYCHAMP”, 00256) has issued its circular for the Annual General Meeting (AGM) scheduled for 28 May 2026 in Hong Kong.
Key AGM Proposals • Share Issue Mandate: Directors will request authority to allot and issue new shares of up to 20% of the existing issued share capital. Based on 4.35 billion shares in issue as at 20 April 2026, the mandate would allow issuance of up to 870.38 million shares. • Share Buy-back Mandate: The Board will also seek power to repurchase up to 10% of issued shares, representing a maximum of 435.19 million shares. No buy-backs have been conducted in the six months prior to the circular date. • Extension Mandate: Subject to the above approvals, the aggregate number of shares bought back may be added to the issuance limit. • Director Re-elections: Four directors—Chairman Hon Kwok Lung, Executive Director Hon Hau Wong, and Independent Non-executive Directors Eddie Shing Cheuk Kam and Lai Wa Chan—will retire by rotation and offer themselves for re-election. • Auditor: The Board proposes to re-appoint BDO Limited as auditor for the coming year.
Shareholding & Takeovers Implication The Hon family and related entities control 56.19% of CITYCHAMP’s shares (2.45 billion). A full 10% buy-back would raise their stake to 62.43% but would not trigger a mandatory offer under the Hong Kong Takeovers Code. The company confirms it will maintain the public float above the 25% regulatory threshold.
