SY Holdings Group Limited has issued a notice convening its 2026 Annual General Meeting (AGM) for 29 May 2026 at 2:00 p.m., to be held on the 46th floor of Dabaihui Plaza in Shenzhen.
Key agenda items include:
1. Dividend Proposal • Board proposes a final dividend of RMB0.4047 per share for the financial year ended 31 December 2025. • Shareholders on the register as at the close of business on 20 July 2026 will be entitled to the payout. The share register will be closed on that day, with last day for transfers set at 17 July 2026.
2. Financial Results and Board Matters • Shareholders will be asked to receive and approve the 2025 audited consolidated financial statements along with the directors’ and auditors’ reports. • Re-election of two directors: Mr Tung Chi Fung (Executive Director) and Mr Lo Wai Hung (Non-executive Director). • The Board seeks authority to determine directors’ remuneration and proposes the re-appointment of Deloitte Touche Tohmatsu as external auditor, with fees to be set by the Board.

Capital Management Mandates • General mandate to allot, issue and deal with new shares and/or resell treasury shares up to 20 % of issued share capital (excluding treasury shares) during the mandate period. • Mandate to repurchase shares on the Hong Kong Stock Exchange or other recognised bourses up to 10 % of issued share capital (excluding treasury shares). • If both mandates pass, the share issue limit will be extended by the number of shares repurchased, capped at an additional 10 %.
4. Governance Update • A special resolution seeks approval for amendments to the company’s Memorandum and Articles of Association, replacing the current version with a fourth amended and restated edition.
Administrative Details • Poll voting will be used for all resolutions. • Share register closure for AGM attendance: 26–29 May 2026, with transfer deadline on 22 May 2026. • Shareholders may appoint multiple proxies; proxy forms must be lodged 48 hours before the meeting.
