Flowing Cloud Technology Maintains Stable Share Base and Public Float Compliance in April 2026

Flowing Cloud Technology Ltd., incorporated in the Cayman Islands and listed in Hong Kong, reported no changes to its share capital structure for the month ended 30 April 2026.

Total authorised share capital remained at 250.00 million ordinary shares with a par value of USD 0.0002 each, equivalent to USD 50,000. Issued shares (excluding treasury shares) held steady at 130.03 million, while treasury shares stayed at 59,100, leaving total issued shares unchanged at 130.09 million.

The company confirmed that its public float comfortably met the Main Board’s minimum 25% requirement as at month-end.

Under the share option scheme adopted on 8 September 2022 (grant date: 14 July 2023, adjusted exercise price: HK$35.60), 1.47 million options were outstanding at the end of April, unchanged from the prior month. No options were exercised, no new shares were issued, and no treasury shares were transferred. The scheme still allows for up to 7.58 million shares to be issued or transferred upon future exercises. No funds were raised from option exercises during the period.

There were no movements involving warrants, convertible securities, other equity agreements, or Hong Kong Depositary Receipts. The disclosure was signed by Executive Director, Chairman and CEO Wang Lei on 7 May 2026.
