JD Logistics Executes HKD 18.06 Million Share Buyback on 21 May, Raising Cumulative Repurchases to 5.23 Million Shares

JD Logistics, Inc. disclosed that on 21 May 2026 it repurchased 1.31 million ordinary shares on the Hong Kong Stock Exchange at prices ranging between HKD 13.74 and HKD 13.98, for a total consideration of HKD 18.06 million. All repurchased shares are intended for cancellation.

Including transactions from 15–20 May, the company has bought back 5.23 million shares since its current mandate became effective on 20 June 2025, utilising 0.079 % of the 664.81 million shares authorised for repurchase.

The buybacks were executed within a price band of HKD 13.63–14.27 per share. As at 21 May 2026, JD Logistics’ issued share count remains unchanged at 6.67 billion shares, as the repurchased shares had not yet been cancelled.

Under Hong Kong listing rules, JD Logistics is subject to a moratorium on issuing new shares until 20 June 2026 following these repurchases. The company confirmed that all transactions complied with Main Board Rule 10.06 and that no material changes have been made to the explanatory statement filed with the Exchange.
