WUXI BIO issues 1.48 million new shares on option exercise and buys back 3.39 million shares under new mandate

WuXi Biologics (Cayman) Inc. (WUXI BIO) filed a Next Day Disclosure Return on 11 June 2026 detailing simultaneous movements in its share capital.

• New share issuance On 11 June 2026, 1.48 million ordinary shares were issued at HKD 1.71 each following the exercise of options granted under the company’s Pre-IPO Share Option Scheme (adopted 5 January 2016 and amended 10 August 2016). The newly issued shares represent 0.0358 % of the company’s issued share capital immediately before the transaction, lifting the total number of issued shares to 4.14 billion.

• Share repurchases The company repurchased 3.39 million shares on the Hong Kong Stock Exchange on 11 June 2026 at prices between HKD 29.00 and HKD 29.98, for a total consideration of HKD 99.82 million. These shares are designated for cancellation. The buy-back forms part of a mandate approved on 10 June 2026 authorising the repurchase of up to 411.99 million shares; the latest purchase equals 0.082 % of the share base on the mandate date.

Including earlier transactions between 27 May and 9 June 2026 that are still pending cancellation, WUXI BIO had 24.48 million shares awaiting cancellation as of 11 June 2026, equivalent to approximately 0.59 % of the current issued share capital.

Following the option-driven issuance and before cancellation of the repurchased shares, WUXI BIO’s outstanding share count stands at 4.14 billion ordinary shares.
