STAR CM Executes Further Share Buyback; Issued Share Count Marginally Reduced

STAR CM Holdings Limited (STAR CM) filed a Next Day Disclosure Return on 29 June 2026 outlining a small-scale on-market share repurchase executed the same day.

• Transaction details: The company bought back 1,900 ordinary shares on the Hong Kong Stock Exchange at HK$0.86 apiece, for a total consideration of HK$1,736.20. All repurchased shares will be held as treasury shares.

• Capital structure impact: – Issued shares (excluding treasury shares) declined by 1,900 to 398.05 million, a 0.0005% reduction. – Treasury shares increased to 0.49 million, bringing total issued shares (including treasury shares) to 398.54 million.

• Repurchase mandate utilisation: The latest purchase lifts cumulative buybacks under the mandate granted on 18 June 2026 to 419,300 shares, equivalent to 0.11% of the company’s issued share base on the mandate date. The board remains authorised to repurchase up to 39.85 million shares in total.

• Post-repurchase restrictions: In line with Hong Kong listing rules, STAR CM is subject to a moratorium on new share issues or treasury-share disposals until 29 July 2026.

The company confirmed that the transaction complied with all applicable regulatory and corporate governance requirements.
