Trading for the shares of Beijing Tianzhihang Medical Technology Co., Ltd., known as the "first surgical robot stock," will be suspended starting tomorrow.
The company announced it is planning to acquire a controlling stake in Shanghai MicroPort Orthopedics Medical Technology Co., Ltd. through a share issuance, and also intends to raise supporting funds.
This transaction is expected to constitute a major asset restructuring but will not result in a change of the company's actual controller, nor does it constitute a backdoor listing.
Due to the uncertainty of the matter, to ensure fair information disclosure, protect investor interests, and avoid abnormal stock price fluctuations, the company's shares will be suspended from trading starting July 16, 2026, for a period not exceeding five trading days.
During the suspension, the company will actively advance related work and fulfill its information disclosure obligations in accordance with relevant laws and regulations based on the progress of the matter.
If the transaction is successfully completed, the current controlling shareholder of Shanghai MicroPort Orthopedics, Suzhou MicroPort Orthopedics (Group) Co., Ltd., will directly hold shares in Tianzhihang, potentially leading to deeper cooperation between the two parties at the capital and industrial levels.
Creating a 'Robot + Implant' Closed-Loop Ecosystem
Tianzhihang listed on the STAR Market in July 2020. It is the first domestic manufacturer of orthopedic surgical robots to obtain CFDA certification in China and the first globally to build a universal surgical robot platform integrating spine, trauma, and joint orthopedic fields.
Having focused on the orthopedic surgical robot sector for over twenty years, Tianzhihang's products now cover more than 200 medical institutions in China, holding the top position in the domestic market in terms of hospital coverage and surgical application volume.
In 2025, the company achieved operating revenue of 279 million yuan, a year-on-year increase of 55.9%. During the same period, Tianzhihang added 49,000 new surgical cases, with the cumulative total exceeding 160,000 cases by the end of March 2026.
The acquisition target, Shanghai MicroPort Orthopedics, is the core operating entity for the international (non-China) orthopedic business of MicroPort Medical. It primarily engages in hip and knee joint orthopedic reconstruction in overseas markets such as the United States and Japan.
With years of experience in the orthopedic field, it has established a mature and scalable overseas sales network, highly complementary to Tianzhihang's overseas business.
If the acquisition is ultimately successful, Tianzhihang will form an integrated layout of "robot + implant + consumables + service."
For Shanghai MicroPort Orthopedics, which focuses on traditional orthopedic implants (consumables), the international orthopedic market increasingly favors purchasing overall solutions.
Integrating with a high-quality surgical robot system that enables precise surgical planning and execution is expected to further enhance the competitiveness of its product portfolio and potentially accelerate market penetration growth.
Grafting onto Overseas Systematic Commercialization Channels
Beyond the significant potential for product line synergy, Shanghai MicroPort Orthopedics is also expected to bring key value to Tianzhihang in terms of global market expansion and commercial operation.
For the orthopedic surgical robot industry, overseas markets have consistently offered vast growth potential.
After achieving a dominant position in the domestic market in terms of both installations and application volume, Tianzhihang has been actively seeking to expand its overseas market presence.
Shanghai MicroPort Orthopedics operates in over 70 countries and regions worldwide, having established a systematic global presence.
If the transaction proceeds smoothly, the mature overseas production and commercial system of Shanghai MicroPort Orthopedics will also be leveraged by Tianzhihang.
This would provide a significant shortcut for Tianzhihang, which aims to expand globally.
On one hand, Tianzhihang's industry-leading robot technology could enhance the value and clinical outcomes of Shanghai MicroPort Orthopedics' consumable products like joint prostheses, accelerating penetration in overseas high-end markets.
On the other hand, the mature channels and customer resources of Shanghai MicroPort Orthopedics across developed global markets would provide a "fast track" for the overseas expansion of Tianzhihang's surgical robot products, significantly shortening its internationalization cycle.
