Hong Kong, 31 July 2026 — Market Misconduct Tribunal (MMT) has issued a written report on proceedings involving DICKSON CONCEPT (the “Company”), controlling shareholder Sir Dickson Poon, executive director Mr. Pearson Poon and Evergo Asia Limited (EAL).
Key findings
1. Disclosure breach • Inside information arose on 21 November 2019 when Sir Dickson Poon learnt of Paypal Holdings Inc.’s plan to acquire Honey Science Corporation. • The MMT ruled the Company breached section 307B(1) of the Securities and Futures Ordinance (SFO) by failing to disclose this information to the public between 21 November and 25 December 2019. • The tribunal was not satisfied that the Company breached disclosure obligations regarding Paypal’s direct proposal (25–27 December 2019).
2. Insider dealing • Sir Dickson Poon was found to have dealt in the Company’s shares, and to have procured EAL to trade, between 28 November and 19 December 2019 while in possession of inside information, contravening sections 270(1)(a)(i) and 270(1)(a)(ii) of the SFO. • EAL was also ruled culpable under section 270(1)(a)(i). • The tribunal concluded Sir Dickson Poon’s conduct contributed to the Company’s disclosure breach and constituted a separate violation of section 307G(2). • No breach was established against Mr. Pearson Poon.
Next steps The MMT has directed a further hearing to determine profits gained from the misconduct and to consider consequential orders. The Company’s board will review the report, seek legal advice and evaluate appropriate actions.
