PuraPharm Proposes Auditor Switch from BDO to CCTH CPA; Extraordinary General Meeting Scheduled for 30 October 2026

PuraPharm Corporation Limited has issued a circular outlining its intention to replace BDO Limited with CCTH CPA Limited as external auditor, effective from the conclusion of an Extraordinary General Meeting (EGM) slated for 10:00 a.m. on 30 October 2026 at OfficePlus@Sheung Wan, Hong Kong.

The Audit Committee initiated fee discussions with BDO between June and August 2026 as part of planning for the FY 2026 audit. BDO quoted an audit fee of HK$2.00 million for the year ending 31 December 2026, covering HK$1.75 million for the Group audit, HK$0.05 million for reviewing the preliminary results announcement and HK$0.20 million for statutory audits of two subsidiaries. After reviewing alternative proposals, the Audit Committee determined that CCTH CPA’s offer of HK$1.60 million—representing a 20% lower cost—was more competitive while providing an expanded reporting scope.

CCTH CPA presented a detailed audit plan involving an eight-member team and approximately 3,256 engagement hours. Key resources include an Engagement Partner with over 17 years’ experience (240 hours) and an Engagement Quality Control Reviewer with more than 30 years’ experience (104 hours). The proposed timetable spans audit planning in November 2026, fieldwork from mid-January to March 2027, and completion in mid-March 2027, in line with Hong Kong Stock Exchange reporting deadlines.

The Audit Committee evaluated CCTH CPA’s independence, competence, manpower and audit approach, referencing the Accounting and Financial Reporting Council’s guidance. It concluded that the firm possesses sufficient expertise—serving more than 50 Hong Kong-listed companies—and resources to deliver a quality audit without compromising standards. The lower fee was attributed to operational efficiencies and strategic resource deployment rather than reduced scope.

BDO formally resigned on 15 September 2026 after being informed of the Company’s decision. No matters were raised by BDO that need to be brought to shareholders’ attention. Shareholders will vote on two ordinary resolutions at the upcoming EGM: (1) to acknowledge BDO’s resignation and (2) to appoint CCTH CPA as auditor until the next annual general meeting, with the Board authorised to fix remuneration.

The share register will close from 27 October to 30 October 2026, and transfers must be lodged by 4:30 p.m. on 26 October 2026 for eligibility to vote. All resolutions at the EGM will be decided by poll.
