Great Eagle Holdings Limited has issued the proxy form for its 2026 Annual General Meeting (AGM), scheduled for 11:30 a.m. on 12 May 2026 at 32/F, Great Eagle Centre, 23 Harbour Road, Wan Chai, Hong Kong.

Key resolutions to be decided by poll include:

1. Financial Results & Dividend • Shareholders will consider the adoption of the audited consolidated financial statements for the year ended 31 December 2025 along with the directors’ and independent auditor’s reports. • The board recommends a final cash dividend of HK0.70 per share for FY 2025.

2. Board Composition • Re-election of seven directors: Non-executive Director Madam Lo To Lee Kwan; Executive Directors Madam Law Wai Duen and Mr. Chu Shik Pui; Independent Non-executive Directors Mr. Ho Shut Kan and Ms. Diana Ferreira Cesar.

3. Director Remuneration • Proposal to fix the annual fee for each director at HK$220,000.

4. Auditor Re-appointment • Messrs. Deloitte Touche Tohmatsu is nominated for re-appointment as the Company’s independent auditor, with the board authorised to determine remuneration.

5. Capital Management Mandates • A general mandate authorising the board to repurchase up to 10% of the Company’s issued shares. • A separate mandate permitting the board to allot, issue or deal with additional shares up to 20% of the issued share capital.

Administrative details note that all resolutions will be voted on by poll, with each share carrying one vote. Shareholders unable to attend may appoint proxies, including the AGM chairman, to vote on their behalf. Completed proxy forms must be lodged at the Company’s Hong Kong principal place of business no later than 48 hours before the meeting.

Contingency arrangements are in place for severe weather or “extreme conditions,” with any changes to the AGM schedule to be announced on the Company’s website and the HKEXnews portal.
