Chengdu Expressway AGM Clears All Resolutions; Announces RMB202.04 Million Final Dividend

Chengdu Expressway convened its 2025 annual general meeting on 14 May 2026 in Chengdu, with shareholders representing 1.56 billion shares—94.43% of the 1.66 billion issued shares—present in person or by proxy. All three ordinary resolutions were approved by poll with support of at least 99.999% of the votes cast.

The meeting endorsed the 2025 Board report, re-appointed Deloitte Touche Tohmatsu Certified Public Accountants LLP as auditor until the next AGM, and approved a final cash dividend of RMB202.04 million, equal to RMB0.122 per share (tax inclusive). For H-share holders, the dividend translates to HK$0.13949 per share, based on the exchange rate of RMB1 to HK$1.14337.

Key distribution dates: • Ex-dividend period: 20–22 May 2026 (register of members closed). • Record date: 22 May 2026. • Payment date: 14 July 2026 (cheques dispatched by ordinary post).

Dividend taxation will follow prevailing PRC rules. A 10% withholding rate applies to non-resident enterprises and to individual shareholders resident in Hong Kong, Macau or jurisdictions with a 10% treaty rate. Rates of 20% or the applicable treaty rate will be withheld for other individual investors, with refund procedures available where treaties prescribe lower rates.

The AGM was chaired by Chairman Yang Tan, with all eight directors in attendance. Computershare Hong Kong Investor Services acted as scrutineer, and Tahota Law Firm verified the legality of the meeting and voting process.
