CIMC Enric Sets 20 May AGM to Approve 20% Issuance Mandate, 10% Buy-Back Cap and HKD 0.31 Dividend

CIMC Enric Holdings has issued a circular convening its annual general meeting for 20 May 2026 in Hong Kong. Key resolutions up for shareholder approval are summarised below.

General issuance mandate • Directors seek authority to allot, issue or transfer treasury shares of up to 20% of the company’s issued ordinary share capital, excluding treasury shares. • Based on 2.11 billion shares outstanding (inclusive of 0.54 million treasury shares) as at 10 April 2026, the mandate would allow a maximum issuance or transfer of 422.54 million shares.

Share repurchase mandate • Management also proposes authority to buy back up to 10% of issued share capital, equivalent to 211.27 million shares. • CIMC Enric repurchased 0.54 million shares on-market during the six months to 10 April 2026 at prices ranging from HKD 7.98 to HKD 10.56. • Majority shareholder China International Marine Containers (CIMC) holds 67.26% of issued shares; full exercise of the buy-back mandate would lift its stake to approximately 74.73% while maintaining the public float above 25%.

FY 2025 final dividend • The Board recommends a final dividend of HKD 0.31 per share. • Share transfer books will close from 1–4 June 2026, with 29 May 2026 as the last day to register transfers. Shareholders on record 4 June will be entitled to the payout, subject to AGM approval.

Board elections • Non-executive directors Zeng Han, Wang Yu and Wang Xiaoyan, together with independent non-executive director Tsui Kei Pang, will stand for re-election. • Tsui Kei Pang’s re-appointment will be voted on separately, as his tenure exceeds nine years.

Administrative details • Proxy forms must reach Computershare Hong Kong Investor Services by 2:30 p.m. on 18 May 2026. • Voting at the AGM will be conducted by poll.

The Board recommends that shareholders vote in favour of all proposed resolutions, citing their alignment with the interests of both the company and its investors.
