WuXi XDC Cayman Inc. announced that all seven resolutions proposed at the Annual General Meeting held on 26 June 2026 were approved by poll.

Resolution highlights 1. Acceptance of the audited consolidated financial statements for FY-2025 received 99.996% votes in favor.

2. Board composition was reaffirmed: • Executive Director Jerry Jingwei Zhang was re-elected with 99.78% support. • Non-Executive Director Ming Shi secured 94.08% approval, the lowest support level among the nominees. • Independent Non-Executive Director Ulf Grawunder was re-elected with 98.55% support.

3. Directors’ remuneration for FY-2026 was authorized with 99.08% approval.

4. Deloitte Touche Tohmatsu was re-appointed as external auditor, backed by 94.90% of votes cast.

5. A general mandate allowing the Board to issue, allot and deal with shares (excluding treasury shares) obtained 88.74% support, while the related mandate extension—adding repurchased shares to the issuance limit—was approved by 87.96%.

6. Authority to repurchase shares gained 99.83% approval.

Voting statistics • Total shares outstanding: 1.26 billion. • No treasury or pending-cancellation shares. • Futu Trustee Limited, holding 5.70 million unvested restricted shares under the 2024 Share Scheme, abstained in accordance with Listing Rule 17.05A. • Computershare Hong Kong Investor Services Ltd. acted as scrutineer.
