J&T Global Completes HKD8.30 Billion Class B Share Issuance to S.F. Holding, Boosting Latter’s Stake to 9.96%

J&T Global Express Limited (“J&T Global”) has finalised its previously announced share subscription, issuing 821.66 million new Class B shares to S.F. Holding Group at HKD10.10 per share. The transaction, completed on 9 June 2026, generated gross proceeds of approximately HKD8.30 billion, all of which were used to settle the subscription consideration. After covering its own related expenses separately, the company confirmed that the net issue price per share remained HKD10.10.

Post‐placement, J&T Global’s total issued share capital expanded from 8.94 billion to 9.76 billion shares, with the newly issued Class B shares accounting for 8.42% of the enlarged base. S.F. Holding Group’s ownership jumped from 1.68% to 9.96% (971.96 million Class B shares), while remaining below the threshold that would designate it a connected person under Hong Kong Listing Rules; the company’s minimum public float requirement continues to be met.

Founder and CEO Mr. Jet Jie Li and his associates now hold 10.03% of J&T Global, down from 10.95% prior to the transaction. Public shareholders’ aggregate stake declined to 75.73% from 82.69%, reflecting the increased strategic shareholding by S.F. Holding. Treasury shares remain unchanged at 28.07 million, representing 0.29% of the enlarged share capital.

J&T Global emphasised that the issuance’s proceeds have been fully applied toward settling the subscription consideration, with no portion allocated to transaction expenses, thereby keeping the effective net price per share aligned with the HKD10.10 issue price.
