Come Sure Group Sells PRC Corrugated-Packaging Machinery to Thai Associate for RMB 6.30 million, Booking RMB 0.16 million Pre-tax Loss

Come Sure Group (Holdings) Limited announced that its indirect wholly-owned subsidiary, Guangdong Come Sure Environmental Protection Technology Co., Ltd., signed a Sale and Purchase Agreement after market close on 12 June 2026 to dispose of a set of corrugated paperboard and paper-based packaging production machineries to Come Sure (Thailand) Limited for RMB 6.30 million (approximately HK$ 7.16 million).

The consideration, agreed through arm’s-length negotiation, will be settled in cash within 14 business days following the purchaser’s inventory count and inspection, which must occur within one month of signing. If either party defaults and the counterparty accepts termination, the defaulting party must refund any paid consideration and pay damages equal to 50% of the consideration.

The machineries carried an unaudited net book value of RMB 6.46 million as at 31 May 2026, implying an expected unaudited pre-tax loss of about RMB 0.16 million (approximately HK$ 0.18 million) on disposal. Proceeds will be applied to general working capital.

Come Sure (Thailand) Limited is indirectly owned 23.77% by the group, classifying it as an associated company rather than a subsidiary. The transaction optimises resource allocation amid customers’ supply-chain shifts toward Southeast Asia, enabling the Thai entity to bolster production capacity, which management believes will indirectly benefit the group.

The disposal meets the criteria of a discloseable transaction under Chapter 14 of Hong Kong’s Listing Rules, as the highest applicable percentage ratio exceeds 5% but is below 25%, triggering reporting and announcement requirements only.
