China Resources Land Sets 9 June 2026 AGM; Shareholders to Vote on RMB0.966 Final Dividend, Director Re-elections and Share Mandates

China Resources Land will convene its Annual General Meeting on 9 June 2026 at 3:00 p.m. in Shenzhen. The agenda covers seven ordinary resolutions:

1. 2025 Results • Shareholders will review the audited financial statements, the directors’ report and the independent auditor’s report for the financial year ended 31 December 2025.

2. Cash Distribution • A final dividend of RMB0.966 per share for FY2025 is proposed for approval.

3. Board Composition • Eight directors—Hao Zhongming, Zhao Wei, Wang Yuhang, Zhong Wei, Sun Zhe, Frank Chan Fan, and Leong Kwok-kuen (Lincoln)—are standing for re-election. • The board seeks authority to fix directors’ remuneration following re-appointment.

4. Auditor Appointment • Deloitte Touche Tohmatsu is nominated as external auditor, with the board authorised to set its remuneration.

5–7. Capital Management Mandates • Resolution 5 requests a general mandate for share repurchases. • Resolution 6 seeks a mandate to issue new shares. • Resolution 7 proposes extending the share-issuance mandate by adding any repurchased shares to the issuance limit.

Shareholders of record may attend the meeting in person or appoint proxies. Proxy forms and related authorisations must reach the company’s Hong Kong head office at least 48 hours before the meeting.
