Jiande Intl Tables 10% Share Buy-back and 20% Issuance Mandates for 4 June 2026 AGM

Jiande International Holdings released its 29 April 2026 AGM circular outlining three key resolutions: renewal of general mandates to repurchase up to 10% of issued shares, to issue up to 20% of issued shares, and the re-election of two directors.

As of the latest practicable date (20 April 2026) the company has 5.84 billion shares outstanding. If the mandates are approved, the board could:

• Repurchase up to 583.80 million shares on-market. • Issue up to 1.17 billion new shares. • Extend the issuance limit by the number of shares actually repurchased.

The mandates will lapse at the earlier of: (1) the next AGM, (2) the deadline for holding the next AGM under Cayman law and the Articles, or (3) shareholder revocation.

Director re-elections involve Executive Director Wu Zhisong and Independent Non-executive Director Ma Sai Yam. Both have confirmed eligibility and, in Ma’s case, independence under Listing Rule 3.13.

The AGM is scheduled for 4 June 2026 at 14:30, Units 5906-5912, 59/F, The Center, 99 Queen’s Road Central, Hong Kong. Shareholders must lodge transfer documents by 16:30 on 29 May 2026; the register will close from 1 to 4 June. Proxy forms must reach Tricor Investor Services at least 48 hours before the meeting.

The board states that share repurchases will be executed only when deemed beneficial, cautioning that a full 10% buy-back could materially affect working-capital and gearing levels.
