Bank of Gansu (02139) announced a planned auditor rotation in line with Chinese regulatory limits that cap continuous engagements at 10 years for state-owned enterprises and listed companies.

The Board has resolved, following a tender process and Audit Committee recommendation, to nominate Baker Tilly China Certified Public Accountants LLP and Baker Tilly Hong Kong Limited as external auditors for the 2026 financial year. The mandate will encompass the review of the 2026 interim results, the annual financial statements audit, and an internal-control audit, all for a one-year term. Total fees are estimated at RMB4.58 million.

Current auditor Shinewing Certified Public Accountants LLP and Shinewing (HK) CPA Limited will retire at the forthcoming AGM. Shinewing, in place since 2016, confirmed that no matters need to be brought to shareholders’ attention regarding its retirement, and both the Board and the Audit Committee reported no disagreements with the outgoing firm.

The proposed appointment of Baker Tilly is subject to shareholder approval at the 2025 annual general meeting scheduled for 30 June 2026. If endorsed, Baker Tilly’s term will commence on the approval date. A circular detailing the resolution will be dispatched to shareholders in due course.
