China Oil & Gas Issues AGM Notice: 15 May 2026 Meeting to Review FY25 Results, Board Re-Elections and 20% Issuance Mandate

China Oil & Gas Group Limited has published the notice for its Annual General Meeting (AGM), scheduled for 15 May 2026 at 2:00 p.m. in Zhuhai, Guangdong Province.

Key items on the agenda include:

1. FY25 Financial Statements • Shareholders will receive and consider the audited consolidated financial statements and the reports of the directors and auditor for the year ended 31 December 2025.

2. Board Composition • Re-election of two executive directors—Ms. Guan Yijun and Ms. Xu Ran—and one independent non-executive director—Ms. Liu Zhihong. • Shareholders will authorise the board to set directors’ remuneration.

3. Auditor Appointment • Proposal to re-appoint KPMG as external auditor and authorise directors to determine its remuneration.

4. General Mandates • Share Issuance: An ordinary resolution seeks approval for the board to allot and issue new shares, or transfer treasury shares, up to a limit of 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Share Repurchase: A separate resolution authorises the company to repurchase up to 10% of the issued share capital (excluding treasury shares) on recognised exchanges, with discretion to hold repurchased shares in treasury or cancel them. • Mandate Extension: Conditional upon the above mandates passing, the share issuance limit would be extended by the number of shares actually repurchased, effectively adding up to a further 10% of issued shares.

5. Administrative Details • The register of members will close from 11 May 2026 to 15 May 2026, inclusive. • Shareholders must lodge share transfer documents by 8 May 2026 to qualify for attendance and voting rights.

The board currently comprises four executive directors—including Chairman and CEO Mr. Xu Tie-liang—and three independent non-executive directors. The company secretary, Ms. Chan Yuen Ying Stella, issued the notice on 15 April 2026.

Shareholders are encouraged to review the detailed circular, submit proxy forms at least 48 hours before the meeting if unable to attend in person, and participate in the governance decisions outlined above.
