InSilico Medicine Cayman TopCo (INSILICO) has dispatched a circular convening its 2026 annual general meeting (AGM) for 9:00 a.m. on 2 June 2026. The meeting will be conducted exclusively online via the company’s eVoting Portal.
The board will ask shareholders to approve three core items:
1. Capital Management Mandates • Share Repurchase: A new 10 % general mandate authorising on-market buybacks of up to 57.24 million shares (based on the current issued share capital of 572.40 million shares). • Share Issuance: A general mandate permitting the board to allot and issue up to 20 % of existing issued shares, equivalent to 114.48 million shares. • Mandate Extension: The issue mandate may be extended by the number of shares actually repurchased under the buyback authority.
2. Board Composition Five directors will retire by rotation and offer themselves for re-election: • Executive Directors: Founder-Chairman & CEO Aleksandrs Zavoronkov, Ph.D., and CSO & Co-CEO Feng Ren, Ph.D. • Independent Non-executive Directors: Denitsa Milanova, Ph.D., Jingsong Wang, Ph.D., and Roman Kyrychynskyi.
3. Auditor Re-appointment Deloitte Touche Tohmatsu is proposed to continue as external auditor for the year ending 31 December 2026, with an estimated audit fee ranging from USD 0.40 million to USD 0.50 million, exclusive of out-of-pocket expenses.
Additional Notes • The current buyback and issuance mandates granted on 15 December 2025 remain unused and will lapse at the forthcoming AGM. • No share repurchases have been executed since the company’s listing on 30 December 2025. • The register of members will be closed from 28 May to 2 June 2026 (both days inclusive). Record date for voting entitlement is 2 June 2026. • Proxy forms must be lodged with Tricor Investor Services by 9:00 a.m. on 31 May 2026.
All resolutions will be decided by poll, with results disclosed post-meeting through Hong Kong Stock Exchange channels.
