GF SEC announces resignation of two independent non-executive directors upon reaching six-year term limit

GF Securities Co., Ltd. (GF SEC) disclosed that independent non-executive directors Ms. Leung Shek Ling Olivia and Mr. Li Wenjing have submitted written resignations after each completed six consecutive years on the board, the maximum tenure permitted by the China Securities Regulatory Commission’s “Measures for the Administration of Independent Directors of Listed Companies.”

The departures will take effect only after shareholders elect new independent non-executive directors at an upcoming general meeting. Until replacements are appointed, both directors will continue to fulfil their duties to ensure board continuity. Their exit will temporarily reduce the proportion of independent directors to below one-third and leave the board without an accounting professional among its independent members—conditions the company must rectify through the forthcoming by-election.

Both directors confirmed no disagreement with the board or management, no outstanding public commitments and no issues requiring shareholder or creditor attention. The board expressed appreciation for their independent, impartial and diligent service.

As of the 8 June 2026 announcement date, GF SEC’s board consists of four executive directors, three non-executive directors and four independent non-executive directors, including the two resigning members. The company plans to finalise the by-election “as soon as possible” in line with regulatory requirements.
