Hong Kong, 3 June 2026 — BlackRock, Inc. disclosed a series of derivative transactions linked to ENN Energy Holdings Ltd. on 2 June 2026, as required under Rule 22 of the Hong Kong Code on Takeovers and Mergers amid the company’s proposed privatisation by scheme of arrangement.
BlackRock entered into 17 new derivative contracts referencing a total of 335,200 ENN Energy shares at reference prices ranging from $53.62 to $53.94 per share. One existing contract covering 1,500 shares was concurrently closed out at $53.95. Net of the closing, BlackRock increased its economic exposure by 333,700 shares.
Following these dealings, BlackRock’s aggregate interest in ENN Energy rose to 13.19 million shares. The notional consideration for the new contracts amounted to approximately $5.08 million, partially offset by $0.01 million received from the single closing transaction, resulting in a net cash outflow of roughly $5.07 million.
BlackRock is classified as a Class (6) associate of the offeree company by virtue of its shareholding and is therefore required to disclose dealings during the takeover process.
