Dynagreen Env: Non-Executive Director Zhao Zhixiong Resigns; Audit & Risk Committee Temporarily Below HKEX Minimum

Dynagreen Environmental Protection Group Co., Ltd. announced that Non-Executive Director Zhao Zhixiong resigned on 18 May 2026 upon reaching retirement age. His departure also ends his role on the Audit and Risk Management Committee.

According to the company’s articles of association, the resignation took immediate effect upon receipt by the Board. The Board confirmed that its overall operations remain unaffected and its size continues to meet statutory requirements.

Following Zhao’s exit, membership of the Audit and Risk Management Committee falls from three to two, below the minimum of three required under HKEX Listing Rule 3.21. Dynagreen Env has identified a suitable candidate and intends to complete the election process promptly to restore compliance in line with Listing Rule 3.23.

Zhao confirmed no disagreements with the Board and noted no other matters requiring shareholder attention. The Board expressed gratitude for his contributions during his tenure.
