Solomon Systech to Seek Shareholder Approval on FY-2025 Results, Board Re-elections and 10% Buyback Mandate at 18 June 2026 AGM

Solomon Systech (International) Limited has issued a proxy form outlining the agenda for its Annual General Meeting scheduled for 18 June 2026, 2:00 p.m. at Unit 607-613, 6/F, Wireless Centre, Hong Kong Science Park.

Key items for shareholder voting include:

1. Financial Reporting • Receipt and consideration of the audited consolidated financial statements and the reports of the directors and independent auditor for the year ended 31 December 2025.

2. Board Composition • Re-election of five directors: – Mr. Yang Kun (Non-executive Director) – Mr. Wang Wah Chi, Raymond (Executive Director) – Dr. Kwok Hoi Sing (Independent Non-executive Director) – Mr. Chan Chi Kong (Independent Non-executive Director) • Authorisation for the board to determine directors’ remuneration.

3. Auditor • Re-appointment of Ernst & Young as independent auditor, with the board authorised to fix the audit fee.

4. Capital Management Mandates • General mandate for the board to repurchase up to 10% of issued shares. • General mandate to allot, issue or deal with new shares up to 20% of issued share capital. • Extension of the 20% issuance mandate by the number of shares repurchased under the 10% buyback authority.

Shareholders unable to attend may appoint the meeting chairman or another proxy to vote on their behalf. Completed proxy forms must be lodged with Tricor Investor Services Limited no later than 48 hours before the meeting.

The board recommends voting in favour of all proposed resolutions.
