China CBM Group Company Limited will ask shareholders to approve several routine mandates and board changes at the annual general meeting scheduled for 27 May 2026 in Yangcheng County, Shanxi Province.
Key items on the agenda:
1. Share Issuance Mandate • Directors request authority to allot and issue up to 20% of the company’s issued share capital during the mandate period. • Based on 390.45 million shares in issue as at 24 April 2026, the limit equates to 78.09 million new shares. • An additional extension would allow the board to re-issue any shares that may be bought back under the repurchase mandate.
2. Share Repurchase Mandate • The board seeks approval to repurchase up to 10% of issued shares, or 39.05 million shares, on the Stock Exchange. • Any repurchased shares will be cancelled; the company does not intend to hold them as treasury stock.
3. Director Re-elections • Executive Chairman Wang Zhong Sheng, and independent non-executive directors Lau Chun Pong and Wang Zhi He, will retire by rotation and stand for re-election. • The nomination committee has confirmed the continued independence of both INEDs; Wang Zhi He has served for more than nine years but remains eligible under GEM rules.
4. Auditor Re-appointment • KTC Partners CPA Limited is nominated for re-appointment as external auditor.
Procedural details:
• The proposed mandates will remain in force until the next AGM, an earlier shareholder revocation, or the statutory deadline under Bermuda law, whichever comes first. • All resolutions will be voted on by poll. • Proxy forms must be lodged with Tricor Investor Services Limited no later than 48 hours before the meeting.
As of the latest practicable date, Chairman Wang Zhong Sheng and related parties control approximately 74.51% of issued shares; no shareholder is required to abstain from voting on the proposed resolutions.
