Yum China Cuts Outstanding Shares; Adds USD 3.00 Million NYSE and HKD 7.75 Million HK Buybacks to Ongoing Programme

Yum China Holdings (Yum China) filed a Next Day Disclosure Return on 23 June 2026 detailing fresh capital movements and continued share repurchases.

Key capital changes (22 June 2026): • 70,143 previously repurchased shares were cancelled, trimming the share base by 0.02%. • 4,653 new shares were issued at USD 41.53 apiece to satisfy long-term incentive plan awards. • Net result: a reduction of 65,490 shares, leaving 347.06 million shares in issue.

Fresh repurchase activity (22 June 2026): • NYSE: 71,492 shares bought back at USD 41.67–42.41; total outlay USD 2.99 million (volume-weighted average USD 41.96). • HKEX: 23,500 shares bought back at HKD 325.4–333.2; total outlay HKD 7.75 million (average HKD 329.63). All 94,992 shares will be cancelled.

Repurchases pending cancellation: • From 13 March to 22 June, the company accumulated 1.83 million shares awaiting cancellation, equal to roughly 0.53% of the current issued share capital.

Repurchase mandate utilisation: • A mandate approved on 28 May 2026 authorises buybacks of up to 34.66 million shares. • Shares repurchased under this mandate total 1.57 million, representing 0.45% of the shares outstanding on the approval date.

No treasury shares were held after the reported transactions, and no sales of treasury shares occurred during the period.
