HUISHENG INTL Proposes 8-for-1 Share Consolidation

HUISHENG INTL (01340) announced that the board proposes to implement a share consolidation on the basis of every eight existing issued and unissued shares with a par value of HK$0.01 each being consolidated into one consolidated share with a par value of HK$0.08 each. The company proposes that, subject to and conditional upon the share consolidation taking effect, the board lot size for trading on the Stock Exchange will be changed from 4,000 existing shares to 10,000 consolidated shares. On May 20, 2026, the company intends to place up to approximately 185 million existing shares at a placing price of HK$0.046 per share to not fewer than six placees through a placing agent. The placing price represents a discount of approximately 19.30% to the closing price of HK$0.057 on that day. The maximum net proceeds from the placing are estimated to be approximately HK$8.22 million. 20% of the proceeds will be used as general working capital to support the group's daily operations and ongoing business development, and 80% will be used for purchasing frozen meat from overseas and domestic suppliers to initiate and expand the group's local frozen meat trading business in Hong Kong.
