Yum China Cuts Outstanding Shares, Adds 84,136-Share Buyback on 13 May 2026

Yum China Holdings, Inc. disclosed a fresh reduction in its share count and detailed ongoing buyback activity up to 13 May 2026.

• Issued-share movement – Opening balance (12 May 2026): 348.99 million shares. – Cancellation of 220,183 repurchased shares on 13 May 2026 lowered the register by 0.06 % to 348.77 million shares.

• New repurchases on 13 May 2026 (not yet cancelled) 1) New York Stock Exchange: 63,386 shares at USD 47.99–46.94; total outlay USD 3.00 million. 2) Hong Kong Stock Exchange: 20,750 shares at HKD 374.60–371.20; total outlay HKD 7.74 million. Combined, 84,136 shares were added to the pending-cancellation pool.

• Shares awaiting cancellation Including the 13 May trades, 1.23 million shares are held for cancellation (1.14 million from prior Hong Kong transactions plus the latest 84,136 shares).

• Repurchase capacity The current mandate, approved on 23 May 2025, authorises up to 37.24 million shares. Cumulative buybacks under this authority now total 26.37 million shares, equivalent to 7.08 % of the issued share base at the mandate date.

• Capital structure snapshot (post-13 May cancellation, pre-pending cancellations) – Issued shares: 348.77 million. – Treasury shares: none.

All buybacks were executed through independent brokers—NYSE purchases under a Rule 10b5-1 plan and Hong Kong purchases via an automatic repurchase agreement—consistent with applicable U.S. and Hong Kong regulations.
