Highlights of the proposed remuneration framework: • Independent directors will receive a fixed pre-tax allowance of RMB 0.18 million per year; external directors employed by the controlling shareholder or affiliates will not receive remuneration from the company. • Internal directors are compensated according to their executive positions, with no additional board allowance. • Senior-management pay comprises base salary, performance-based pay (targeted at ≥50 % of total annual remuneration) and potential special incentives; performance bonuses are largely settled after annual-report disclosure, with any advance payment capped at 30 %. • Claw-back clauses allow the company to reduce, withhold or recover variable pay in cases of financial restatements, compliance breaches or losses attributed to executives.
