Marketingforce issues 12.33 million new shares at HK$40.54 each, enlarging share capital by 4.83%

Marketingforce Management Ltd (Marketingforce) has completed a placing and subscription of 12.33 million new ordinary shares under its general mandate, according to the Next Day Disclosure Return filed on 20 May 2026 with the Stock Exchange of Hong Kong.

Prior to the issuance, Marketingforce had 255.40 million issued shares (excluding 0.87 million treasury shares). The new shares, allotted on 20 May 2026 pursuant to agreements signed on 15 May 2026, were priced at HK$40.54 apiece, implying gross proceeds of approximately HK$500.00 million (US$64.0 million equivalent).

Following the transaction: • Issued shares (excluding treasury shares) rose 4.83% to 267.74 million. • Total shares in issue, including treasury shares, increased to 268.60 million. • Treasury shares remained unchanged at 0.87 million.

The board confirmed that the share placement was executed under the company’s existing mandate and complied with all relevant Hong Kong listing rules and regulations. No share repurchases, cancellations, or on-market sales of treasury shares were reported for the period covered.
