Gaoyu Finance Group Limited has issued its formal proxy circular for the 2026 Annual General Meeting (AGM), scheduled for 26 August 2026 at 11:00 a.m. in Room 4409, 44/F, COSCO Tower, 183 Queen’s Road Central, Hong Kong.
Key matters to be decided:
1. FY26 Financial Statements • Shareholders will consider and, if thought fit, adopt the audited consolidated financial statements for the year ended 31 March 2026 together with the directors’ and auditor’s reports.
2. Board Composition and Remuneration • Re-election of Ms. Hsieh Ching Chun as Executive Director. • Re-election of Mr. Tong Wing Chi as Independent Non-executive Director. • Authorisation for the Board to fix directors’ remuneration.
3. Auditor Appointment • Proposal to re-appoint ZHONGHUI ANDA CPA Limited as external auditor and empower the Board to determine its fee.
4. Share Capital Authorities • General mandate permitting the Board to allot, issue or deal with new shares not exceeding 20% of the issued share capital. • Separate mandate to repurchase shares representing up to 10% of issued capital. • Authority to extend the 20% issuance mandate by the number of shares actually repurchased.
5. Constitutional Amendments (Special Resolution) • Adoption of amendments to the existing Memorandum and Articles of Association and approval of the Second Amended and Restated Memorandum and Articles of Association, details of which are provided in Appendix III of the 17 July 2026 AGM circular.
Procedural Notes • Shareholders may appoint one or more proxies; completed forms must reach Union Registrars Limited (Suites 3301-04, 33/F., Two Chinachem Exchange Square, 338 King’s Road, North Point, Hong Kong) at least 48 hours before the meeting. • In the absence of a named proxy, the AGM chairman will act as default proxy. • Joint holders may vote through the member whose name appears first in the register.
The resolutions collectively cover routine annual approvals, capital management flexibility and an update to corporate governance documents, and will be decided by poll at the forthcoming meeting.
