Yum China trims share count after US$3.00 million and HK$7.73 million buybacks; issued shares fall to 348.70 million

Yum China Holdings, Inc. (Yum China) filed a Next Day Disclosure Return on 15 May 2026 detailing recent capital movements across its dual listings in New York and Hong Kong.

Share repurchase and cancellation • On 14 May 2026, 63,386 ordinary shares bought back on the New York Stock Exchange (NYSE) at a volume-weighted price of US$47.33 per share were cancelled, reducing the issued share base by 0.02%. • Concurrently, 64,971 shares were repurchased on the NYSE at prices between US$45.93 and US$46.66, for a total outlay of US$3.00 million; all are earmarked for cancellation. • In Hong Kong, 21,250 shares were repurchased on 14 May 2026 at prices ranging from HK$362.40 to HK$370.40, costing HK$7.73 million; these shares will also be cancelled.

Issued share capital Following the outright cancellation and the issuance of two new shares for long-term incentive plan settlements (priced at US$45.98 each), the total number of issued shares declined to 348.70 million as of 14 May 2026.

Repurchases pending cancellation Between 13 March and 14 May 2026, Yum China accumulated 1.26 million shares for future cancellation—1.19 million in Hong Kong and 64,971 in the United States—equivalent to approximately 0.36% of the current share count.

Progress under buyback mandate • The company’s 23 May 2025 shareholder-approved repurchase mandate authorises up to 37.24 million shares. • Cumulative repurchases under this authority have reached 26.46 million shares, representing 7.11% of the shares outstanding when the mandate was granted. • A 30-day moratorium on new share issues or treasury-share sales applies following the latest buybacks, in line with Hong Kong Listing Rules.

No treasury shares are currently held on balance, and all repurchased shares are intended for cancellation, underscoring Yum China’s continued focus on returning capital to shareholders through share count reduction.
