Hyphens Pharma International approves FY2025 dividend and other key resolutions at Apr, 28 2026 AGM

Hyphens Pharma International Limited told shareholders that all ten resolutions tabled at its annual general meeting on Apr, 28 2026 were passed by poll.

The meeting approved the Directors’ Statement and audited financial statements for the year ended Dec, 31 2025 and declared a final tax-exempt dividend of 1.50 Singapore cents per ordinary share.

Shareholders re-elected Dr Tan Kia King and Mr Chan Kiat to the board, endorsed total directors’ fees of 0.282 million Singapore dollars for FY2025 and re-appointed RSM SG Assurance LLP as external auditor.

The AGM also authorised the board to issue new shares and convertible securities of up to 100 % of issued share capital (with a 50 % limit for non-pro-rata issues), to grant awards and options under the company’s performance share plan and employee share option scheme (capped at 15 % of issued shares in aggregate), and renewed the 10 % share buy-back mandate.

All ordinary resolutions received at least 97.86 % of votes cast in favour, while routine matters such as quorum confirmation and poll procedures were completed without incident.

The meeting concluded with the board noting continued interest from potential investors and confirming that a possible transfer from Catalist to the SGX Mainboard remains under consideration, although no timeline has been set.
